MEMBERSHIP SUBJECT TO APPROVAL: Membership is subject to approval by Lifestyle Fitness Center and Body Exclusive, Inc. (thereafter referred to as the “Center”) and shall be effective only when this Agreement is approved by the Center and the undersigned is notified in writing. I acknowledge that I have read and understand the general terms and conditions of this Agreement. I agree to be bound by such terms and conditions and acknowledge that I received a copy of this Agreement. Upon approval by the Center, this agreement constitutes a contract between the parties granting me all rights and privileges afforded under the current forms, conditions, rules and regulations of the Center, as they may be amended from time to time at the Center’s option. HOW TO END MEMBERSHIP/FOR EFT MEMBERSHIPS ONLY: All monthly memberships run from month to month and incur monthly dues until the membership is frozen or terminated. I understand that I may terminate this membership by submitting a written 30 day notice, after a minimum of three months, to the Center at the address above, along with my membership identification card(s), if applicable. A member may not terminate or freeze the month to month membership prior to the three month minimum which is required. I understand that my termination is effective the last day of the following month in which my termination notice is received by the Center. I agree to pay all account balances in full prior to termination. Memberships may not be cancelled while in a frozen status. If cancellation notice is received during a “frozen period”, one final EFT payment will be required. I understand and agree to pay dues to the Center for checks returned, accounts closed or accounts not authorized, or other circumstances in which the Center must notify a member and collect due payment which is overdue. INFORMED CONSENT: Although there are distinct benefits to exercise in terms of quality and enjoyment of life, strenuous exercise is not without risk to the musculoskeletal and cardiovascular systems. Before using the facilities at the Center, you and your physician should decide on the appropriateness of exercise given your known risk factors and current state of health. If an exercise feels awkward or causes pain, stop and consult your physician. Pain, discomfort and anxiety have no place in sound fitness activity. I have read this paragraph and this Agreement and I understand it. I take full responsibility of maintaining an appropriate exercise program knowing my risk factors and current state of health. In consideration for being permitted to use the Center’s services and facilities, and to engage in exercise activities, including use of all Center facilities (hereinafter collectively referred to as “exercise activities”) I herby agree as follows: 1. I HERBY RELEASE AND DISCHARGE the Center, its directors, officers, agents, employees and instructors, and all the equipment located at the Center (hereinafter referred to collectively as the “Released Parties”) from any and all liability, claims, demands, or causes of action that I may hereafter have for injuries and damages arising out of my participation in exercise activities, including but not limited to, losses CAUSED BY NEGLIGENCE OF THE RELEASED PARTIES. 2. I further agree that I WILL NOT SUE OR MAKE A CLAIM against the Released Parties for damages or other losses sustained as a result of my participation in exercise activities. I also agree to INDEMNIFY AND HOLD HARMLESS THE RELEASED PARTIES from all claims, judgments and costs, including attorney fees, incurred with any lawsuit brought as a result of my participation, or in the case of family memberships, my family’s participation in exercise activities, INCLUDING ACTIONS BASED UPON THE NEGLIGENCE OF THE RELEASE PARTIES. 3. I understand that exercise activities have inherent dangers that no amount of care, caution, instruction or expertise can eliminate. So, I EXPRESSLY AND VOLUNTARILY ASSUME ALL RISK OF DEATH OR PERSONAL INJURY SUSTAINED WHILE PARTICIPATING IN EXERCISE ACTIVITIES WHETHER OR NOT CAUSED BY THE NEGLIGENCE OF THE RELEASED PARTIES. 4. CLIENT SHALL PAY LIFESTYLE FITNESS CENTER, ITS DIRECTORS, OFFICERS, AGENTS, EMPLOYEES AND INSTRUCTORS, ITS COSTS AND EXPENSES INCLUDING ATTORNEY’S FEES PAID OR INCURRED IN ENFORCING THE TERMS STATED ABOVE. 5. I ACKNOWLEDGE THAT I CAREFULLY READ AND INITIALED THESE INFORMED CONSENT PROVISIONS. I ACKNOWLEDGE THAT I FULLY UNDERSTAND THEM AND SIGN THIS AGREEMENT OF MY OWN FREE WILL. WARNING: IF YOU DO NOT UNDERSTAND THIS FORM, DO NOT SIGN IT. I HERBY AUTHORIZE LIFESTYLE FITNESS CENTER, BODY EXCLUSIVE, INC. TO EFFECT PAYMENTS FOR MY MONTHLY MEMBERSHIP DUES, INCIDENTAL CHARGES, AND ADMINISTRATIVE FEES BY INITIATING DEBIT ENTRIES TO MY ACCOUNT. I REQUEST THE CREDIT CARD COMPANY OR BANK NAMED BELOW TO ACCEPT ANY SUCH ENTRIES INITIATED BY LIFESTYLE FITNESS CENTER. PART II GENERAL TERMS AND CONDITIONS OF FACILITY MEMBERSHIP MEMBERSHIP / QUALIFICATION: Any individual 18 years of age or older, of responsible character, and proven financial responsibility, is eligible for membership at the Center, subject to approval. Individuals who are a part of a family membership and under 18 years of age are considered members and are subject to the Center’s Rules and Regulations. Membership in the Center includes a Member’s right to utilize the Center’s facilities within the framework of these Terms and Conditions and in accordance with the Center’s Rules and Regulations, which may change from time to time. It does not infer any authority in the management of the Center or any interest in the property or assets of the Center. Memberships are non-transferable. WAITING LIST: If a membership has reached the limit set by management, new applications will be reviewed and when approved for membership under the terms and conditions and Membership Fees and Dues Structure in effect at that time. MEMBERSHIP DUES CATEGORY TRANSFER: Any member wishing to change membership category may do so only at the discretion of the Center’s management. An allowed change of membership category presupposes availability of an opening in the requested category. All membership change requests or termination requests must be submitted to the Center in writing. An administrative fee maybe incurred to effect change. INITIATION FEE: All initiation fees are non-refundable. TAXES: Applicable taxes must be paid in addition to published Center Fees, Dues and Charges. RULES AND REGULATION: All members agree to abide by the Center’s Rules and Regulations while in the Center’s facilities. These Rules and Regulations may change from time to time. Failure to abide by the Center’s Rules and Regulations may result in termination of Membership. SUSPENSION / TERMINATION: The Center may terminate a membership by notification in writing to the Member at the last address shown on Center records for that Member. The terminated member will be required to return promptly any Center property, including ID cards, and will remain liable for all dues and other indebtedness incurred prior to the return of the property. At the sole discretion of the Center’s Management, the Membership of any Member who is not in good standing is one who has no outstanding Membership dues or Center charges over thirty (30) days old. Use of the Center’s facilities is available only to Members in good standing and their guests. FREEZE POLICY: Subject to Center’s approval Memberships maybe frozen due to extenuating circumstances for a minimum of one month and a maximum of three months per twelve (12) month period. Freezing is not allowed for one month or three month memberships. This twelve month period begins on the date of the signed agreement. Frozen memberships will not be subject to a monthly maintenance fee. Any member may place his/her membership on freeze by notifying the Center in writing. Freeze requests must be received by the Center prior to the first day of the month for which the freeze is requested, or else the freeze will not be effective until the first day of the following month. Month to month memberships may not be frozen prior to the three month minimum. To reactivate a frozen membership without a predetermined return date, please notify the Center in writing prior to your first return visit. DAMAGES: Members accept responsibility for all property damage caused by themselves or their guests, except that due to ordinary wear or usage. The Center, in its sole reasonable discretion, shall determine whether any property damages result from ordinary wear and tear. The Center shall not be responsible or liable to Members and their guests for property damaged, lost or stolen on Center premises. ADDITIONAL RIGHTS TO CANCELLATION: A member may also cancel this Agreement for any of the following reasons, 1. In the event of the Member’s death, the Member’s estate may cancel the contract. 2. (i) If the Member becomes significantly physically or mentally disabled for a period in excess of three (3) months and provides reasonable evidence of illness or disability, including a doctor’s letter; (ii) if the Center’s services or facilities are not available to the Member because the seller (Center) fails to open a planned Center or location; (iii) if the Center permanently discontinues operation of the Center or location; or (iv) if the Center substantially changes the operation of the Center or location. 3. If the Member moves his/her residence to a location more than 25 miles from a center operated by the seller, or a substantially similar club which will accept the seller’s obligation under contract. SERVERABILITY: In the event any part or parts of this Contract are determined invalid or unenforceable, such part, or parts, shall be severed and the remainder shall be in full force and effect. REFUND: Initiation (joining) fees are non-refundable unless the Membership is cancelled within 3 days of joining the Center. All membership fees are non-refundable and non-transferable. POLICY CHANGES: The Center reserves the right from time to time and at any time in its discretion to change fees, dues, services: to suspend normal operations for necessary maintenance or improvements, or due to inclimate weather, or on specific dates when a center activity has been scheduled.
